Terms & Conditions


1. Definitions

In these Terms and Conditions:

1.1 "you" means anyone applying to open a Club Account or whose application for membership has been accepted;

1.2 "we, us" means U G D J Limited [(trading as Britannia Entertainment Company and/or B Club)] of Osprey House, 5/7 Old Street, Jersey or any company to which U G D J Limited has transferred its rights;

1.3 "Club" means B Club and/ or Britannia Classical;

1.4 "Compensation Fee" means the amount we can charge you if you do not fulfil the Purchase Commitment or if you cancel your Membership as explained in Condition 5;

1.5 "Fixed Period" means the 2 years from the date you start your Membership;

1.6 "Introductory Offer" means the offer you take up to start your Membership;

1.7 "Membership" means your B Club membership account;

1.8 "Minimum Term" means the time from the date your Membership is started until you fulfil your Purchase Commitment;

1.9 "Purchase Commitment" means the number of Products you have to buy, described in Condition 5 below;

1.10 "Recommended Recording" means a Recording which we regularly select as our personal recommendation to you;

1.11 "Recordings" means all the compact discs, DVDs and games we supply, and any other formats we might supply in the future;

1.12 "Standard Price" means the price shown as the ‘price’ in the Club magazine or on the website;

1.13 "Voucher" means any voucher or coupon we provide as part of any Club offer; and

1.14 "Website" means www.bclub.co.uk / www.britanniaclassical.co.uk


2. Terms and Conditions

2.1 These Terms and Conditions apply as soon as we accept your application for Membership. We'll let you know before we make any changes to them. These may include a change of the Club's name or structure, but won't affect the fulfilment of your Purchase Commitment, or mean any reduction in Club benefits.

2.2 As a Club member you agree to be bound by these Terms and Conditions.


3. Becoming a B Club Member

3.1 Your Membership is with U G D J Limited, and any purchases you make are from UGD J

3.2 To apply for Membership you must be at least 18 years old with a permanent home address in Jersey/the Channel Islands, England, Northern Ireland, Scotland, Wales, Republic of Ireland or Isle of Man.

3.3 You can't transfer your Membership to anyone else or let anyone else use your account to buy Recordings from us.

3.4 We screen all applications for Membership and might not accept yours. If we don't accept it we'll return any money you've sent. We don't process card payments until we've accepted an application.

3.5 You can cancel your Membership at any time after joining up to 10 working days after receiving your Introductory Offer. To do this you need to contact us by letter, fax or email using the contact details shown in condition 22. Otherwise your membership will continue until it's cancelled and you will have to meet your obligations under the Purchase Commitment as explained in Condition 5 below.

3.6 If you decide to cancel your membership in accordance with condition 3.5 above you must return the Introductory Offer Recordings at your expense with all the shrink wrap and packaging unopened. In the event that you fail to return the Introductory Offer Recordings we will seek to recover the full cost of the Introductory Offer Recordings and any associated postage and packing.

3.7 If you purchase other Products before we are able to send you the Introductory Offer (for example where the Introductory Offer contains pre-release Products which are not available at the time of order) you may still cancel your Membership without having to meet your obligations under the Club Agreement in accordance with conditions 3.5 and 3.6 above.

3.8 You should let us know if you change your address as soon as you can.


4. Your Membership

4.1 Subject to your rights set out below, your Membership means that you agree to buy from the Club ex works in Jersey the monthly Recommended Recording and have each month pre-ordered each such Recommended Recording as chosen by the Club at its absolute discretion. No contract exists between you and the Club before your membership is accepted. Your offer to purchase the Recommended Recording is accepted by the Club when your Membership application is accepted and results in a contract to sell. When, pursuant to your pre-order, the Club decides upon the Recommended Recording to be allocated to your account each month, a specific contract of sale will arise in respect of that Recommended Recording. If you joined the Club with no Recommended Recording service then this condition does not apply to you.

4.2 Once the monthly Recommended Recording has been chosen by the Club, it shall be allocated to your account and you shall become liable to pay the price of the said Recommended Recording, subject to Clauses 4.3 and 4.4 below.

4.3 When, pursuant to your pre-order, the Recommended Recording has been allocated to your individual account and a contract of sale has arisen in respect of that Recommended Recording, the Club will notify you of the Recommended Recording.

4.4 Prior to the date specified on that notification, you will be able to exercise a right to cancel that individual contract of sale by informing the Club in the manner indicated on the notification that you no longer wish to purchase that particular Recommended Recording. Alternatively, once the Recommended Recording has been dispatched to you, you may secure the right to a refund by informing the Club that you no longer wish to purchase that particular Recommended Recording and returning the said Recommended Recording at your expense to the Club in Jersey with all the shrink wrap and packaging unopened, complying with the requirements of Clause 13 below.

4.5 The exercise of such a right of cancellation does not affect or diminish your Purchase Commitment.

4.6 Your right to cancel the individual contracts for each month’s Recommended Recording is unlimited. This means that, although you have agreed to purchase the Recommended Recordings chosen for you by the Club, you can decide to cancel the individual contracts each month in the manner set out in Clause 4.4 above. However, you must still meet your obligations under the Purchase Commitment in Clause 5 below.

4.7 In addition to the Recommended Recordings, you are also able to purchase as many additional Recordings as you wish.


5. Purchase Commitment

5.1 Your Membership means that you have agreed to buy at least 6 Recordings at Standard Price within the Fixed Period (the two years after you first open a Membership). At least 3 of these Products must be within the first 12 months. NB: The Introductory Offer, free or sale items don't count towards your Purchase Commitment.

5.2 If you don't buy 6 Recordings at Standard Price within the Fixed Period, or if you cancel your Membership before you've bought 6 Recordings at Standard Price within the Fixed Period, you'll be liable to a Compensation Fee. The Compensation fee is equal to the total value of the discount received for your account Introductory Offer. [The Compensation Fee is reduced by 1/6 each time you buy a Recording at Standard Price during the Fixed Period to show that we recognise you've fulfilled part of your B Club Agreement.]

5.3 If you joined the Club via a "free Recordings plus Vouchers" offer, Recordings you buy with the Vouchers won't count towards fulfilling the Purchase Commitment. If you then don't fulfil the Purchase Commitment or cancel your Membership before buying 6 Recordings at the Standard Price within the Fixed Period, you'll have to pay a Compensation Fee. [If you've not bought any Recordings at Standard Price the Compensation Fee will be equal to the value of the discount you received for your account Introductory Offer plus the value of Vouchers you have redeemed. The Compensation Fee is reduced by 1/6 each time you buy a Recording at Standard Price during the Fixed Period to show that we recognise you've fulfilled part of your B Club Agreement.]


6. Benefits of Club Membership - loyalty pays

6.1 Rewards programme

A: While you a member, once you have purchased £100 worth of recordings we will automatically give you a discount of 5% off any further recordings you order
In addition we will give to you a £5 voucher and not charge you any delivery charges on order in excess of £25.

B: Once your purchases have exceeed £250 you will be entitled to a discount of 7.5% off any further recordings you order and delivery charges will be free.

C: B: Once your purchases have exceeed £500 you will be entitled to a discount of 10% off any further recordings you order and delivery charges will be free.

D: In any event, delivery charges will be free on all orders in excess of £25 once you have spent over £100.

E: You are only entitled to qualify for our Rewards Programme while you are a member of the Club.


7. Orders

7.1 You can place orders as described in the Club magazine or on the Website.

7.2 We'll send orders as soon as possible, in any event within 30 days of receipt of the order, unless we let you know that we can't, for example if an item is out of stock or if you are pre-ordering a Product that is not yet available. If you would like to cancel an order which can't be delivered within 30 days you should contact us as set out in condition 22.

7.3 As a Club member, all purchases made by you, including Recommended Recordings, are completed and performed in Jersey and Jersey law shall govern every aspect of contractual agreement concerning purchases made from us.

7.4 As a Club member you'll be charged for postage & packing at the rates specified in the B Club Magazine and/or on the Website from time to time. These postage and packing charges will be passed in their entirety to the logistics company collecting the Recordings on your behalf.

7.5 When you place an order to purchase a Recording from us on our Website this represents an offer by you to purchase a Recording which is accepted by us when we send you an e-mail confirming that we have dispatched the Recordings that you have ordered to you (the "Confirmation E-mail"). That acceptance will be deemed to be complete and communicated to you at the time we send the Confirmation E-mail to you (irrespective of whether or not you receive the Confirmation E-mail). For the avoidance of doubt no contract for the sale of a Recording will exist between you and us unless and until we have sent the Confirmation E-mail to you.]


8. Recommended Recording (if applicable)

8.1 We'll notify you of our choice of Recommended Recording on your order form. If you don't want to receive the Recommended Recording you must let us know by the date specified on the order form in one of the following ways. You must quote your Membership number in each case:

  • By ticking the appropriate box on the order form;
  • By telephone, fax or email as shown in Condition 22;
  • By contacting us through the Website.

We will ensure that the order form is sent out to you so that you should receive it in good time prior to the date specified for a response. In the event there are any problems you should contact us at the address below.

8.2 If we do not hear from you we'll send out the Recommended Recording with an invoice. Purchase of the Recommended Recording at Standard Price does count towards fulfilling your Purchase Commitment.

8.3 On completion of your purchase commitment, Recommended Recordings will only continue to be notified to you on your order form where you have not purchased an item in the preceding month. Should a month pass without the purchase of an item, in the following month you will be notified of our choice of Recommended Recording for you.


9. Title and Risk

9.1 All sales are ex works. This means that the sale is completed in Jersey.

9.2 All ownership, title and risk of loss and/or damage in the Recording purchased shall pass to you at the point and time at which the Recording is allocated and/or charged to your account.


10. Dispatch

10.1 Unless you notify us:

(a) in respect of all orders, at the time of placing an order; or

(b) in respect of Recommended Recordings, at the time the notification is sent to you;

that you will arrange for your own collection of the Recording from our place of business in Jersey, we will arrange for the dispatch of your order on your behalf.

10.2 You will be charged for postage & packing at the rates specified in the B Club Magazine and/or on the Website from time to time.


11. Customs

11.1 In respect of all Recordings dispatched on your behalf to an address outside Jersey, you are the importer of record and must comply with all laws and regulations of the country into which the Recordings are delivered.

11.2 The Recording may be subject to import duties and taxes, which are levied once the package reaches the country of delivery. Any such additional charges levied for customs clearance must be borne by you. You are responsible for these charges and for complying with all laws and regulations of the national Customs Authorities. It is acknowledged by you that the Club has no control over any additional charges for customs clearance and cannot predict what these may be at any time in the future. Orders may be opened and inspected by Customs Authorities in your country on arrival there.

11.3 For recordings priced at £18 and above imported by you into the UK, we will, unless you inform us otherwise, arrange for VAT at 17.5% and any applicable Customs duty due on your importation to be paid to HM Revenue and Customs. This procedure is for your convenience only and is specific for the importations you make into the UK. This arrangement does not change any of the relevant terms and conditions mentioned in this document and you may notify us at any time that you do not wish to take advantage of this arrangement. For the avoidance of doubt, you are and will remain the importer of record of all Recordings shipped to an address outside Jersey and remain liable for any import VAT, Customs or other duty chargeable thereon.


12. Payment

12.1 We'll send you an invoice setting out the cost of the Recordings we have supplied, together with the total cost of postage and packaging. Our prices and charges are shown in the Club magazine and on the Website.

12.2 You can pay the closing balance shown on the invoice by cheque, credit or debit card, bank giro credit or postal order. Details of how to pay can be found on the Website and in the Club magazine. We must receive your payment within 10 days of your receiving of our invoice.

12.3 All payments must be accompanied by your name and Membership number so that we can process them correctly. Please write your Membership number on the back of cheques.

12.4 We reserve the right to request that we receive payment from you before we supply Recordings to you.


13. Returns

13.1 You can cancel the purchase of any Recordings up to 30 days after receipt, EXCEPT those that are part of the Introductory Offer or Recordings sent out before the Introductory Offer. These must be cancelled within 10 working days if you decide you don't want your Membership.

13.2 You must then return all Recordings (within 10 days of cancelling the purchase) at your expense with all the shrink wrapping and packaging unopened. Products over the value of £28 should be returned using the Royal Mail's Special Delivery service. If you don't return the Recordings we will seek to recover the full cost of the Recordings and any associated postage and packaging. If you don't return unwanted Recordings within the time allowed, or if the shrink wrap has been removed we'll charge a £10 administration fee to cover our processing and administration costs. If there's some particular reason why you weren't able to return a Recording within the time periods please let us know.

13.3 If a Recording is faulty or damaged on delivery, you must return it within 30 days, together with a description of the fault or damage and the information we ask for on the delivery note.

13.4 In the event of any fault or damage (except fault or damage arising from fair wear and tear, neglect or failure to follow instructions) we'll provide a replacement or a refund (dependent on which you ask for) and send it to you as soon as possible. We'll charge a £10 administration fee to cover our processing and administration costs if we don't accept liability for the faults or damage.

13.5 If, by mistake, we send a Recording or Recordings that were not on your original order you should return these within 30 days and without removing the shrink wrap and we'll send you the correct ones. We'll pay the costs of returning the Recordings sent in error.

13.6 All returns should be sent to the following address: Britannia - Returns Department, PO Box 738, Jersey JE4 0QW

13.7 Condition 13 doesn't affect your legal rights in any way.

13.8 You should get a proof of posting from the Post Office for anything you return to us and keep it safe in case of query. In the event that any item is mislaid or indeed lost by the Post Office we will ask you to deal with the Post Office directly. They will require the proof of posting to investigate. Items which have not been received will remain on your account and payment will be due. Where we provide a pre-paid return sticker for any reason (e.g. If an item was sent in error) we will deal with the Post Office but you should still obtain proof of posting to assist any investigation.

14. Legal costs and charges for late payments

14.1 If you've fulfilled the Purchase Commitment but haven't paid the total balance on any statement within the set time, you'll be liable to a late payment fee of £5. If your payment is rejected for any reason, (by way of example only, if your cheque bounces) you'll be liable to an administration fee of £10. In both cases the fees are to cover the processing and administration costs we incur.

14.2 We reserve the right to alter these amounts. You'll only have to pay this if you don't pay the closing balance on the overdue statement by the date on our notification. If you haven't fulfilled the Purchase Commitment and haven't paid the total balance on a statement by the date on our notification, you'll be liable to pay the Compensation Fee described under Condition 5. The Compensation Fee will only be applied where your account is passed to a debt collection agency. Your account will only be passed to a debt collection agency after two reminders requesting payment have been sent to you.

14.3 Unless prevented by law, if we start any court proceedings to recover money owed by you to us to legally enforce our rights under these Terms and Conditions, you'll have to pay all reasonable and legitimate costs and expenses we properly incur for any advice we receive on the proceedings. You'll also have to pay any court fees we've had to pay. Your liability for these costs and expenses is separate from any order the court makes for costs to be paid.


15. Products not received by you.

If a product you have ordered is not received by you, you should contact our Member Services Department on 0871 222 1133 as soon as possible.


16. Cancelling your Membership

16.1 We may cancel your Membership at any time by sending 7 days' written notice to the last address we have for you.

16.2 You can cancel your Membership by writing to our Member Services Department at the address in Condition 22.

16.3 If you cancel your Membership before fulfilling the Purchase Commitment you'll be liable to a Compensation Fee, described in Condition 5.


17. Data protection - information about you

17.1 We handle any information we have about you under the Data Protection (Jersey) Law 1987. When you apply for a Membership you give us permission to give your details to credit reference agencies who will supply us with credit information, as well as information from the Electoral Register and we may receive and hold information about you from them. These agencies may record details of our enquiry and their reply. We may also give details of how you manage your account to credit reference agencies. Credit searches and other information which is provided to us and/or the credit reference agency about you and those with whom you are linked financially may be used by us and other companies if credit decisions are made about you, or other members of your household. This information may also be used for debt tracing and the management of your account. If you do not repay in full and on time, we may tell credit reference agencies who will record the outstanding debt. You have the right of access to your personal records held by credit and fraud agencies. We will supply their names and addresses upon request to Member Services, B Club, PO Box 738, Jersey, JE4 0QW. By signing your application, you agree that we can use your information in this way.]

17.2 When you applied to become a member of B Club you will have indicated your preferences concerning information you would and would not like to receive. You can change these preferences at any time by logging on to the B Club website and going to 'my account', or write to us at the address in Condition 22, quoting Department DPA.

18. Intellectual Property & Copyright

18.1 You may use the Recordings only for individual, personal and non-commercial use and, except as permitted by applicable law, you shall not copy, issue copies, rent, lend, perform, show or broadcast the Recordings in public or make any adaptation of the Recordings.

18.2 Copyright laws apply to the Recordings we supply and to the artwork on the packaging. You'll be in breach of copyright law if you broadcast, copy or perform the material on the Recordings, or copy the artwork, without the copyright holder's permission.


19. Limitation of liability

19.1 Our liability to you for breaking any of these Terms and Conditions is limited to refunding any money you've already paid for Recordings that you haven't received or that you've returned within the agreed time scales and in the required condition. We won't be liable for any other loss or damages, unless the loss or damages are caused by our negligence or our breach of these terms and conditions. For the avoidance of doubt we do not limit or exclude our liability for (a) death or personal injury resulting from our negligence or (b) fraudulent misrepresentation.

19.2 We do not accept liability for any errors and omissions and reserve the right to change information, prices, specifications and descriptions of Recordings. We will endeavour to do our best to correct errors and omissions as soon as practicable after we become aware of them. We shall be under no obligation to dispatch an order for a Recording which has been advertised at an incorrect price but we shall give you the option to either cancel the order or confirm the order at the correct price.


20. Unenforced Rights

If we choose not to exercise any of our rights under these Terms and Conditions, or we put off exercising them, this won't prevent us from exercising any of them in the future.


21. Separate Terms and Conditions

If any part of these Terms and Conditions can't be enforced, it will be considered dropped from the agreement between you and us, but all other Terms and Conditions will stay in force.

23. Alternative fulfilment

The Club reserves the right to fulfil any order for a Recording placed by you, including your agreement to purchase the monthly Recommended Recording, by the provision and/or arrangement for the collection of the Recording by any other company for and/or on behalf of the Club.


24. Change of Terms and Conditions

The Clubs reserves the absolute right to make any changes to its policies, and these Terms and Conditions at any time. You will be subject to the policies and Terms and Conditions in force at the time that you order goods from us, unless any change to those policies or these Terms and Conditions is required to be made by law or government authority (in which case it will apply to orders previously placed by you).


25. Governing Law

Your relationship with us is governed by and construed in accordance with the laws of Jersey. You agree, as we do, to submit to the exclusive jurisdiction of the Courts of the Island of Jersey, subject to our right to commence proceedings against you in any other court of competent jurisdiction.
